Terms & Conditions

This Website/App offers an online platform through which individuals and companies may create a profile to connect with potential Hosts or Guests for publishing Host Services and listing the opportunities or positions for Guests on Hosteleer and to communicate and transact directly with Guests that are seeking to book such Host Services based on their individual needs and specification. However, being a passive platform, Hosteleer is not in any way involved in such transactions as it is not a party to such transactions and has no control over any element of such transactions.

As used in this Agreement, “www.hosteleer.com", "we," "us," and "our" shall mean Hosteleer and its subsidiaries and affiliates. This Service and the Website/App is available only to individuals above 18 years of age or registered companies. By using any of the Services and the Website/App, You expressly agree to be bound by these terms and all applicable laws and regulations governing the Website/App and the Services. The terms form a legally binding agreement between you and Hosteleer in relation to your use of the Website/App and/ or the Services and applies to all users of the Services, whether registered or not, on the Website/App.

By accessing or using the services available through our website/App (the "Services"), you agree to be bound by these Terms of Service and our Privacy Policy. These Terms do not alter in any way the terms or conditions of any other agreement you may have with Host. If you are using the Services on behalf of any entity, you represent that you are authorized to do so.

We may, at our sole discretion, modify or revise these Terms of Service and policies at any time by giving notice on our Website/App and/or through the Services, and you agree to be bound by such modifications or revisions. Although Hosteleer may attempt to notify you, when major changes are made to these Terms of Service, you should periodically click on our Terms of Service to review any updates. All changes shall be effective immediately when we post them and shall apply to all access to and use of our Website/App thereafter. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits hereunder.

Hosteleer acts as a passive platform for the online distribution and publication of User/Member Content and has no obligation to screen communications or information in advance and is not responsible for screening or monitoring User/Member Content posted by User/Member. However, Hosteleer may review and delete any User/Member Content that, in the sole judgment of Hosteleer, violates these Terms of Use, violates applicable law, rule or regulation, is offensive or illegal or violates the rights of, harms or threatens the safety of Members of Hosteleer. The Company reserves the right to expel Members and prevent their further access to Hosteleer for violating the Terms of Use or applicable law, rule or regulation and the right to remove Member Content which is in violation of the Terms of Use, abusive, illegal, or disruptive.

Member means a person or company who completes Hosteleer’s account registration process.

Host means the member who creates a listing through the Website/App, app and service.

Listing means any experience listed by the Host as available for hosting and positions through the Website/App or service.

Guest means the member who creates an account for the purpose of looking at listings and applying to the positions listed by Host.

Virtual Contract means non-legal instrument created by Host, offered to Guest on acceptance it becomes contract.

Content means text, graphics, images, music, software, audio, video, information or other materials.

Hosteleer Content means all Content that Hosteleer makes available through the Website, Application, Services, or its related promotional campaigns and official social media channels, including any Content licensed from a third party, but excluding Member Content.

Collective Content means Member Content and Hosteleer Content.

Review means “review system” created by members, which is measured through a ranking system of 5 stars and comments.

Third Parties means any company/entity offering “goods and services” through the Hosteleer Platform.

Ambit of Service

Hosteleer is a trusted community marketplace where Hosts and prospective Guests may establish relationship. In this relationship, its elements are of critical importance. As the provider of the service, Hosteleer does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any Listings or Host Services, nor is Hosteleer an organizer or retailer of travel packages under Directive (EU) 2015/2302. Hosts alone are responsible for their Listings and Host Services. Hosteleer does not intermediate labor relationships or is responsible in any way for the arrangements made between Guests and Hosts after their first meeting on the platform. Hosteleer is not acting as an agent in any capacity for any Member.

Hosteleer shall charge service fees to Guests in consideration for the use of the platform. Hosteleer reserves the right to change/alter such fees anytime without any prior notice. The Service fees to use the Site and Site Services are paid solely by the Guest.

Hosteleer has no control over and does not guarantee (i) the existence, quality, safety, suitability, or legality of any Listings or Host Services, (ii) the truth or accuracy of any Listing descriptions, Ratings, Reviews, or other Member Content (as defined below), or (iii) the performance or conduct of any Member or third party. Hosteleer does not endorse any Member, Listing or Host Services.

The placement and rank of Postings in search results on the Hosteleer may vary depending on a variety of factors, such as Guest preferences and search parameters, Host requirements, calendar availability and position description, number and quality of the Images, cancellation history, Comments, Ratings and Reviews.

Any such description is not an endorsement, certification or guarantee by Hosteleer about any Member, including Member's identity or background or whether the Member is trustworthy, safe or suitable. You should always exercise due diligence and care when deciding whether to stay in an Accommodation, participate in an Experience or Event or use other Host Services, or communicate and interact with other Members, whether online or in person.

Hosteleer is under no obligation to seek to resolve disputes and this service is offered at Hosteleer sole discretion and may be withdrawn at any time.

Obligations Of Members

To access and use certain features of the Services, you may be required to register for an account. By creating an account, you agree to: (i) provide accurate, current and complete account information and provide the necessary documents (e.g. government issued identification); (ii) maintain the security of your password, not share your password with any other person and accept all risks of unauthorized access to your account; and (iii) promptly provide notice to support@hosteleer.com if you discover or otherwise suspect any security breaches related to the Services.

You will comply with any applicable export control laws in your local jurisdiction. You also represent and warrant that (i) neither you nor your Host Service(s) are located or take place in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Hosteleer does not control, and is not responsible for ads, directory information, business listings/information, messages between members, including without limitation e-mails sent from outside Hosteleer’s domain or other means of electronic communication, whether through the Website/App or another Third Party Website/App (defined below) or offerings, comments, member postings, files, images, photos, video, sounds, business listings/information and directory information or any other material made available through the Website/App and the Service ("Content"); and that by using the Website/App and the Service, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. You acknowledge and agree that you are responsible for and must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will Hosteleer be liable in any way for the Content or for any loss or damage of any kind incurred as a result of the browsing.

Members will not use the Services if any applicable law in their country prohibits them from doing so and or have not previously been their right to use the Services suspended or terminated.

You acknowledge and agree that Hosteleer cannot and does not pre-screen or approve any Content, but that Hosteleer has the right, in its sole and absolute discretion, to refuse, delete or move any Content that is or may be available through the Service, for violating these Terms and such violation being brought to Hosteleer’s knowledge or for any other reason or no reason at all.

You agree and understand that Hosteleer does not undertake any verification to confirm the accuracy of any information provided by the members on the Website/App or to a Host or Guest, as the case maybe. Hosteleer will not be liable to any Users/members in the event that any information provided by other members is false, incomplete, inaccurate, misleading or fraudulent.

Hosteleer does not endorse any Content or any opinion, statement, recommendation, or advice expressed therein, and Hosteleer expressly disclaims any and all liability in connection with member’s Content.

Obligations of Host and Guest

The Host acknowledges and agrees:

That he/she unequivocally declares that the property is free, clear of all levies and liens and encumbrances.

That he/she will ensure that the property shall not be used for any fraudulent, unlawful or criminal activity.

That the Host shall have all the valid documents to prove his/her exclusive title to the property. To make it abundantly clear, it is stated with stress that property is not subject matter of dispute directly or indirectly or remotely.

That all prospective Guests shall be informed, at least 7 days prior, of any changes in the availability of the listing whatsoever, after being posted on the Website/App. Failing to do so Hosteleer reserves the right to show publicly on the Hosts profile the number of times the Host has failed to inform Guest on time along with possible late cancellation penalty charges.

Host shall provide full information regarding the position, responsibilities and the compensation to be provided to the Guest.

Host shall provide clear information regarding the location of the accommodation, disclose any deficiencies, difficulties and restrictions inherent to the place or position and requirements that apply (such as a minimum Guest age, proficiency or physical size required for a particular position); and provide any other relevant information requested by Hosteleer. Host must make clear to the Guest if there are any other conditions, details or agreement with him or her regarding the exchange that will take place.

Host shall ensure that he/she shall ask Guest to perform only those obligations as were listed on the Hosteleer, Furthermore, Hosts acknowledges and agrees that Guest reserves the right to refuse to perform any such obligations which were not mentioned in the Listing.

Host shall make sure that the conditions posted by them shall not be in conflict with the Terms and Conditions of the Hosteleer.

Host are solely responsible for setting a price including any Taxes, if applicable, or charges such as cleaning fees for the Listing. Once a Guest requests a booking of the Listing, the Guest may not be requested to pay a higher price than in the booking request.

That as a host he/she shall not offer, any Accommodation that he/she does not own or have permission to make available as a residential or other property through the Hosteleer.

The Guest acknowledges and agrees:

That the property shall not be used for any kind of fraudulent, unlawful or criminal activity.

It shall be the sole responsibility of the Guest to check the Visa rules and determine the right Visa required for the listing he/she is applying for. Furthermore, Guests agree that neither Host nor Hosteleer shall be responsible for determining the Visa requirements for them.

Guests agree to perform activities mentioned in the listing.

If the Guest has chosen any property and later does not wish to proceed with it, the Host shall be informed 7 days prior to the schedule arrival. Failing to do so Hosteleer reserves the right to show publically on the Guests profile the number of times the Guest has failed to inform Host on time along with possible late cancellation penalty charges.

That Guest shall not use the services with any negative intentions.

Guests understand that a confirmed booking of a listing that also offers Accommodation is a limited license granted to them by the Host to enter, occupy and use the Accommodation for the duration of their stay. In the event that the listing is the Accommodation itself, the Host retains the right to re-enter the Accommodation.

Guests agree to leave the Accommodation no later than the checkout time that the Host specifies in the Listing or such other time as mutually agreed upon. If Guests stay past the agreed upon checkout time without the Host's consent, they no longer have a license to stay in the Accommodation and the Host is entitled to make them leave in a manner consistent with applicable law. In addition, they agree to pay, if requested by the Host, for each day or any portion thereof that they Overstay, plus all applicable Guest Fees, Taxes, and any legal expenses incurred by the Host to make you leave. Overstay Fees for late checkouts on the checkout date that do not impact upcoming bookings may be limited to the additional costs incurred by the Host as a result of such Overstay. If they Overstay at an Accommodation, they authorize Hosts to charge them to collect Overstay Fees.

Listing, booking and accommodation

Any terms and conditions included in the Listing, in particular in relation to cancellations, must not conflict with these Terms or the relevant cancellation policy for the Listing. Pictures, animations or videos used in the Listings must accurately reflect the quality and condition of the Host Services. Hosteleer reserves the right to require that Listings have a minimum number of Images of a certain format, size and resolution.

In certain circumstances, Hosteleer may decide, in its sole discretion, that it is necessary to cancel a confirmed booking and make appropriate refund and payout decisions.

In cases where it is deemed that the Guest is unable to experience the respective booking due to host negligence Hosteleer shall refund the total cost of the booking except the service fee.

Use Of The Services

Except as otherwise agreed upon, we hereby grant you a limited, nonexclusive, non-sub-licensable license to access, and use the Platform and Content solely for personal and noncommercial purposes, conditioned on your compliance with these Terms. You will not use, copy, adapt, modify, decompile, reverse engineer, disassemble, decrypt, attempt to derive the source code, prepare derivative works based upon, distribute, license, sell, rent, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Platform and Content, except as expressly permitted by Hosteleer or as permitted under applicable law. Any unauthorized use of the Services is strictly prohibited and will terminate the license granted in these Terms. No licenses or rights are granted to you by implication or otherwise, except for the licenses and rights expressly granted to you.

As a Guest, in cases where accommodation is offered as part of the listing or the listing itself is the accommodation, you are responsible for leaving the Accommodation (including any personal or other property located at the Accommodation) in the condition it was in when you arrived. You are responsible for your own acts and omissions and are also responsible for the acts and omissions of any additional guest member (if applicable). As an abundant caution, it is clarified Guests cannot invite people to stay in the listing’s accommodation unless:

  1. It has been discussed with the Host and the host has agreed; and
  2. It is within the allowable Guest limit stipulated by the Host.

In most cases the Host will offer an experience to the Guest and may (in their sole discretion) provide accommodation but accommodation is not guaranteed.

In no way Hosteleer shall be held liable for theft or damage done by Members during their experience.

As a Host you are solely responsible for determining your obligations to report, collect, remit or include in your Listing Fees any applicable VAT or other indirect sales taxes, occupancy tax, tourist or other visitor taxes or income taxes.

If the Guest or Host fail to comply with any of these terms Hosteleer reserves the right to keep information relating to the breach, to publish or disclose this information on the Member’s online profile and to suspend or withdraw the Member’s access to the Website/App.

Reviews

Members need to keep in mind that once the feedback is provided by other Member (Guest or Host) it cannot be removed. However, feedback reviews may be removed in the event there is violation of Terms of Service.

Members must not withhold the delivery of services, files/documents (e.g. passports) of other member, or information required to complete the service with the intent to gain favorable reviews or additional services is prohibited.

Members shall not create dummy profiles in order to generate favorable feedback, manipulate some other Members profile and or instruct the third party to write a positive or negative review about the other Member.

While submitting the information regarding their profile, we encourage to all the Members to provide correct information about the experience they had.

Once the rating process is finished, the reviews and ratings shall be seen by the public. Members acknowledge and agree not to upload, post, transmit, publish, or distribute any material or information that is unlawful, or which may potentially be perceived as being harmful, threatening, libelous, ethnically, or otherwise objectionable.

Electronic Communications

When you send an e-mail or chat electronically with Hosteleer, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail. You agree that all agreements, notices, disclosures and other communications that Hosteleer provides to you electronically satisfy legal requirements that such communications be in writing.

Communications And Submissions

Members should always be professionally courteous when submitting any content on the Hosteleer platform. Inappropriate, obscene, defamatory, offensive language, crude or explicit sexual content, discussions of any matters which are explicitly or by inference illegal in any way, discussions of illegal or any other drugs, and racially and ethnically offensive speech are examples of unsuitable content that are not permitted within the Hosteleer Community.

We expressly reserve the right, but have no obligation, to: (a) monitor any communications within Hosteleer, including, without limitation, to ensure that appropriate standards of online conduct are being observed, and (b) immediately or at any time remove any content that we deem objectionable or unsuitable in our sole discretion. Hosteleer does not endorse, approve, or prescreen any content that you or other users/members post or communicate on or through Hosteleer. Hosteleer does not assume any responsibility or liability for any content that is generated, posted or communicated by any users/members on or through Hosteleer. You agree to indemnify Hosteleer and each of their respective employees, Members, officers, directors, agents, representatives, vendors, and content providers from any liability or damages arising out of or resulting from any content you post or communicate on or through Hosteleer.

Without limiting the generality of these policies and standards, the following actions are examples, without being exhaustive, of behavior that violate these Terms of Use and may result in your Hosteleer account being immediately suspended or terminated:


  • Request, accept or make any payment for Listing Fees outside of the Hosteleer Platform or Hosteleer Payments. If you do so, you acknowledge and agree that you: (i) would be in breach of these Terms; (ii) accept all risks and responsibility for such payment, and (iii) hold Hosteleer harmless from any liability for such payment
  • Contact another Member for any purpose other than asking a question related to your own booking, Listing, or the Member's use of the Hosteleer Platform, including, but not limited to, recruiting or otherwise soliciting any Member to join third-party services, applications or website/Apps, without our prior written approval.
  • Posting, transmitting, promoting, or distributing any content that is illegal.
  • Harassing or threatening any other user/members of the Hosteleer Community or any employee or contractor of Hosteleer;
  • That promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
  • Advocates harassment or intimidation of another person;
  • Requests money from, or is intended to otherwise defraud other users/members of the Service;
  • Contains video, audio photographs, or images of another person without his or her permission (or in the case of a minor, the minor’s legal guardian);
  • Provides material that exploits people in a sexual, violent or other illegal manner, or solicits personal information from anyone under the age of 18;
  • Provides instructional information about illegal activities such as making or buying illegal weapons or drugs, violating someone’s privacy, or providing, disseminating or creating computer viruses;
  • Attempting to obtain a password, other account information, or other private information from any other users/members of Hosteleer.
  • Impersonates any person or entity, including, but not limited to, a Hosteleer employee, or falsely states or otherwise misrepresents an affiliation with a person or entity;
  • Uploading any software, files, photos, images or any other content to Hosteleer that you do not own or have the legal right to freely distribute, or that contain a virus or corrupted data, or any other malicious or invasive code or program.
  • Contact anyone who has asked not to be contacted, or make unsolicited contact with anyone for any commercial purpose, specifically, contact any users/members to post advertisement on a Third Party Website/App or post any advertisement on behalf of such user/member; or to "stalk" or otherwise harass anyone;
  • Posting messages for any purpose other than personal communication, including without limitation advertising, promotional materials, chain letters, pyramid schemes, political campaigning, soliciting funds, mass mailings and sending "spam", or making any commercial use of Hosteleer.
  • Disrupting the normal flow of dialogue, or otherwise acting in a manner that negatively affects or disrupts other users/members.
  • Improperly using any game support functions or complaint buttons, or making false complaints or other reports to Hosteleer representatives.
  • Make any libelous or defamatory comments or postings to or against anyone;
  • Uploading or transmitting, or attempting to upload or transmit, any material that acts as a passive or active information collection or transmission mechanism, including, without limitation, gifs, 1x1 pixels, web bugs, and other similar devices.
  • Collect personal data about other users/members or entities for commercial or unlawful purposes;
  • Using or launching any automated system, including, without limitation, any spider, bot, cheat utility, scraper or offline reader that accesses Hosteleer, or using or launching any unauthorized script or other software.
  • Using a false e-mail address or otherwise disguising the source of any content that you submit within Hosteleer, or using tools which anonymize your internet protocol address.
  • Interfering or circumventing Hosteleer security feature or any feature that restricts or enforces limitations on use of or access to Hosteleer.
  • Engaging in cheating or any other activity that Hosteleer deems to be in conflict with the spirit of Hosteleer.
  • Post Content that is outside the local area or not relevant to the local area, repeatedly post the same or similar Content, or otherwise impose unreasonable or disproportionately large loads on our servers and other infrastructure;
  • Post the same item or service in multiple classified categories or forums, or in multiple metropolitan areas;
  • Attempt to gain unauthorized access to computer systems owned or controlled by Hosteleer or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service or the Website/App.

You are solely responsible for your interactions with other users/members. You understand that we currently do not conduct criminal background checks or screenings on its users/members. Hosteleer also does not inquire into the backgrounds of all of its users/members or attempt to verify the statements of its users/members. Hosteleer makes no representations or warranties as to the conduct of users/members or their compatibility with any current or future users/members. Hosteleer reserves the right to conduct any criminal background check or other screenings (such as sex offender register searches), at any time and using available public records.

If you feel that any Member you interact with, whether online or in person, is acting or has acted inappropriately, including but not limited to anyone who (i) engages in offensive, violent or sexually inappropriate behavior, (ii) you suspect of stealing from you, or (iii) engages in any other disturbing conduct, you should immediately report such person to the appropriate authorities and then to Hosteleer by contacting us with your police station and report number (if available). You agree that any report you make will not obligate us to take any action (beyond that required by law, if any).

In no event shall we, our affiliates or our partners be liable (directly or indirectly) for any losses or damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the Service including, without limitation, death, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other users/members or persons you meet through the Service.

You understand that we make no guarantee, either express or implied, regarding your ultimate compatibility with individuals you meet through the Service. You should not provide your financial information (for example, your credit card or bank account information), or wire or otherwise send money, to other users/members. You agree that any Content you place on the Service may be viewed by other users/members and may be viewed by any person visiting or participating in the Service.

You are solely responsible for the content and information that you post, upload, publish, link to, transmit, record, display or otherwise make available (hereinafter, “post”) on the Service or transmit to other users/members, including text messages, chat, videos (including streaming videos), photographs, or profile text, whether publicly posted or privately transmitted (collectively, “Content”). You may not post as part of the Service, or transmit to Hosteleer or any other users/members (either on or off the Service), any offensive, inaccurate, incomplete, abusive, obscene, profane, threatening, intimidating, harassing, racially offensive, or illegal material, or any material that infringes or violates another person’s rights (including intellectual property rights, and rights of privacy and publicity).

You agree and accept that all of the information you provide to Hosteleer when setting up your User Account and at any other time shall be true, correct, complete and accurate in all respects. You also agree that any information supplied to Hosteleer or posted on the Website/App in connection with any accommodation, property is true, accurate and complete.

Contacting Members

By accepting the terms and conditions contained herein, every member hereby agrees and gives consent to Hosteleer to communicate via phone calls, SMS, email and such other means as Hosteleer may deem fit. Members are expected to rate each other and leave their comments on the Website/App. Hosteleer may contact its members, if requested by one of the users/members, if they are violating some of the regulations or if they are suspicious of identity fraud.

Suspension And Termination Of Account And Service

Generally, a member account will be considered active until they deactivate or delete it. Hosteleer takes steps to verify the credentials and company status of its members. We do not guarantee that the Website/App or any content contained on the Website/App will always be available or be uninterrupted. We reserve the right to limit, suspend, terminate, modify, or delete the member account we provide to you or your access to our Services or portions thereof (including any Content you or other members submit) for any reason, with or without notice and at any time, including, without limitation, if you are, or we suspect that you are, improperly using the Services, violating any applicable laws or failing to comply with this Terms of Service. We also reserve the right to stop offering and/or supporting the Services or any part of the Services at any time either permanently or temporarily, for any reason, with or without notice to you, at which point your use of the Services or any part thereof will be automatically terminated or suspended.

Third Party Links, Content And Services

Any and all contents and services (including advertising) within Hosteleer that are not owned by Hosteleer are "third party content and services." Hosteleer acts merely as an intermediary service provider of, and accepts no responsibility or liability for third party content and services. In addition and without limiting the generality of the foregoing, Hosteleer may include links to Website/Apps operated by third parties, including advertisers and other content providers. Those Website/Apps may collect data or solicit personal information from you. Hosteleer does not control such Website/Apps, and is not responsible for their content, policies, or collection, use or disclosure of any information, those Website/Apps may collect.

Ownership and Intellectual Property

This Website/App and all content forming part of the Website/App, including without limitation, all photographs, images, designs, information, interfaces, text, graphics, brand names, logos and trademarks, are protected by copyright, trade mark and other intellectual property laws of the United States. You acknowledge and agree that Hosteleer owns, controls or is licensed all legal right, title and interest in and related to the Website/App, including all intellectual property rights. You may not:

  • modify or copy the layout or appearance of the Website/App or any computer software or code contained in the Website/App; and/or
  • decompile or disassemble, reverse engineer or otherwise attempt to discover or access any source code related to the Website/App.

Reliance on Information Posted

The information presented on or through the Website/App is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk and responsibility. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website/App, or by anyone who may be informed of any of its contents.

Limitation of Liability

NEITHER HOSTELEER NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE HOSTELEER PLATFORM OR COLLECTIVE CONTENT WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF INTERACTIONS OR MEETINGS WITH OTHER MEMBERS OR OTHER PERSONS WITH WHOM YOU COMMUNICATE, INTERACT OR MEET WITH AS A RESULT OF YOUR USE OF THE HOSTELEER PLATFORM.

YOU SPECIFICALLY ACKNOWLEDGE THAT HOSTELEER SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW, THEREBY MINIMIZING OUR LIABILITY TO YOU TO THE LOWEST AMOUNT PERMITTED BY APPLICABLE LAW. THE SERVICES ARE CONTROLLED AND OFFERED BY HOSTELEER FROM ITS FACILITIES IN UNITED STATES. HOSTELEER MAKES NO REPRESENTATIONS THAT THE SERVICES ARE APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS. THOSE WHO ACCESS OR USE THE SERVICES FROM OTHER JURISDICTIONS DO SO AT THEIR OWN VOLITION AND ARE RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAW.

HOSTELEER IS NOT A PARTY TO ANY AGREEMENT BETWEEN A HOST AND GUEST AND WILL NOT BE LIABLE TO EITHER THE HOST OR THE GUEST. FURTHERMORE, HOSTELEER SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING AS A RESULT OF:

A FALSE, MISLEADING, INACCURATE OR INCOMPLETE INFORMATION BEING PROVIDED BY A MEMBER;

ANY FRAUD, FRAUDULENT MISREPRESENTATION OR BREACH OF DUTY OR BREACH OF ANY OF THESE CONDITIONS BY A HOST OR GUEST BEFORE, LISTING THE PROPERTY.

YOUR USE OF THE WEBSITE/APP, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE/APP IS AT YOUR OWN RISK. These Terms and Conditions incorporate our Privacy Policy which together constitutes the entire agreement between You and Hosteleer, in relation to Your use of the Website/App and/ or the Services and supersedes any prior representations, inducements or agreements relating to its subject matter. You agree that these Terms of Use are not intended to confer and do not confer any rights or remedies upon any third party. If any part of these Terms of Use are held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. These Terms of Use, including all terms and policies referenced herein, contain the entire understanding, and supersede all prior agreements, between you and Hosteleer relating to this subject matter, and cannot be changed or terminated orally.

Assignment

You may not assign these Terms or any of the rights granted hereunder without the prior written consent of Hosteleer, and any attempted assignment without such consent shall be void. Subject to the foregoing restriction, these Terms will be fully binding upon, inure to the benefit of, and be enforceable by us and our respective successors and assigns.

Non-waiver

Failure by either Hosteleer or You to exercise or enforce any right conferred shall not be deemed to be a waiver of any such right nor operate so as to bar that exercise or enforcement thereof or of any other right on any later occasion.

Indemnification

You agree to defend, indemnify and hold harmless Hosteleer and its respective employees, Members, officers, directors, shareholders, agents, representatives, vendors, and content providers from and against any and all liabilities, claims and expenses, including attorneys' fees, that arise from a breach of these Terms of Use for which you are responsible or in connection with your transmission of any content to, on or through our website/App. Without limiting your indemnification obligations described herein, we reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Force Majeure

Hosteleer shall not provide any refunds or be liable for any delay or failure to perform resulting from causes outside its reasonable control; including, without limitation, any failure to perform hereunder due to unforeseen circumstances or causes beyond its control such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.

Governing Law

Governing Law. The Parties hereby agree that all actions brought in respect of this Agreement, or any Services delivered pursuant to this Agreement, shall be brought before a Competent Courts of United Sates, and the parties hereby acknowledge the exclusive jurisdiction of the Competent Courts of Florida. Therefore, you agree that the Service shall be deemed a passive one that does not give rise to personal jurisdiction over us, either specific or general, in jurisdictions other than Florida. This Agreement shall be governed by the internal substantive laws of the province of Florida, without respect to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of a competent court located in Florida, for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.
